Completion of Acquisition

SDL announces that, following the Admission at 8am today of 11,275,684 new ordinary
shares to trading on the Official List of the London Stock Exchange, the acquisition of Tridion
Holding B.V. as announced on 24 April 2007, has been completed.

The Company confirms that, following the admission of the shares described above, SDL
plc's issued share capital consists of 74,238,924 ordinary shares of 1p each.
